Votes tallied for the merger, represent 49.4 mln, or 77%, of the company's shares outstanding as of the April 27 record date. Of those, 95% were in favor.

The transaction is anticipated to close by Q3 of 2011 and its completion subject to satisfaction of customary closing conditions.
